End-User Licence Agreement

Introduction
This End-User Licence Agreement (“Agreement”) is a legal contract between you (“User”, “you”, or “your”) and Zeno Technologies Pte. Ltd. (“Zeno”, “we”, “our”, or “us”), the operator of the Zeno mobile and web platform (“Platform”).
By downloading, installing, accessing, or using the Zeno app, you acknowledge that you have read, understood, and agree to be bound by this Agreement, together with our Privacy Policy and any other applicable terms. If you do not agree, you must not use or access the Platform.
Nature of the Platform
Zeno is a mobile and web-based technology platform that enables users to perform wallet top-ups, transactions, and rewards management with participating merchants and service partners.
When you download and register on the Zeno app, you become a Zeno user, which grants you access to Zeno’s technology services only. Zeno provides the interface, data connectivity, and rewards management functionalities that link users with third-party payment processors and merchants.
Zeno acts solely as a technology intermediary and does not itself provide, manage, or control any financial or payment services. Specifically, Zeno does not:
- Hold, receive, store, or manage user or merchant funds;
- Provide banking, money transfer, remittance, or lending services;
- Issue, operate, or manage any stored-value facility, digital wallet, or digital payment token; or
- Guarantee, insure, or underwrite any transaction, reward, or stored balance.
All wallet balances, top-up amounts, and transaction records displayed within the Zeno app are for reference purposes only, based on information supplied by third-party payment service providers (“PSPs”) or merchants. Zeno does not hold any of the funds that you top up or transfer. All monies are received, managed, and held by the relevant PSPs or merchants according to their own terms and regulatory obligations.
Regulatory Disclaimer: Zeno Technologies Pte. Ltd. is not licensed, regulated, or exempted under the Monetary Authority of Singapore’s Payment Services Act 2019 (“PS Act”). All payment processing and stored-value operations are conducted by independent, licensed PSPs. Zeno provides technology support services only.
User Accounts
To access the Platform, you must create a Zeno account. You agree to provide accurate, current, and complete information during registration.
You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account. Zeno may suspend or terminate access if there is suspected misuse, fraud, or breach of this Agreement.
Wallet Top-Ups and Payments
Top-ups or payments initiated through the Zeno app are processed exclusively by third-party payment service providers (“PSPs”) or merchants.
Zeno does not process, receive, or control any funds related to these transactions. The PSP or merchant is solely responsible for:
- Processing and confirming your transaction;
- Crediting your wallet balance; and
- Managing any refunds, reversals, or disputes.
Zeno has no control over funds movement. All financial obligations remain between you and the relevant PSP or merchant.
Rewards Management
Zeno enables users to earn, view, and redeem rewards, cashback, or loyalty points issued by participating merchants or partners. Rewards have no monetary or cash value, are non-transferable, and may be governed by each merchant’s own terms.
Zeno does not issue, own, or guarantee any rewards. Errors or disputes regarding reward balances or redemptions must be directed to the issuing merchant.
Licence to Use the Platform
Zeno grants you a limited, revocable, non-exclusive, and non-transferable licence to access and use the Platform for lawful purposes.
You may not:
- Copy, modify, reverse-engineer, or distribute the Platform;
- Use bots, scrapers, or other automated tools to access the Platform; or
- Use the Platform for fraudulent, deceptive, or unlawful activities.
No Custody or Financial Responsibility
Zeno is not a financial institution and does not hold or manage user funds. All funds are handled exclusively by licensed PSPs or merchants.
Zeno is not liable for any delay, failure, or loss in funds transfer, insolvency of PSPs, or unauthorised access to your wallet. Payment-related issues must be resolved directly with the PSP or merchant.
Data Protection and Privacy
Zeno processes personal data in accordance with the Singapore Personal Data Protection Act 2012 (PDPA) and our Privacy Policy.
Zeno only collects data necessary to operate the Platform, such as login credentials, transaction references, and reward data. Payment information and wallet credentials are handled solely by PSPs under their own compliance obligations.
Disclaimers and Limitation of Liability
The Platform is provided on an “as is” and “as available” basis. Zeno makes no warranties regarding accuracy, continuity, or reliability of services or data provided by merchants or PSPs.
To the fullest extent permitted by law, Zeno shall not be liable for indirect, consequential, or special damages, including but not limited to loss of data, profits, or goodwill, arising from your use or inability to use the Platform or third-party services.
Indemnification
You agree to indemnify and hold harmless Zeno, its directors, employees, and affiliates from any claims, damages, or liabilities arising out of:
- Your use or misuse of the Platform;
- Your breach of this Agreement; or
- Any dispute between you and a merchant or payment provider.
Termination
Zeno may suspend or terminate your access at any time for violation of this Agreement, unlawful activity, or non-compliance. Upon termination, your right to access the Platform ceases immediately.
Termination shall not affect any accrued rights or obligations prior to termination.
Governing Law and Jurisdiction
This Agreement is governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the Singapore courts for all disputes arising out of or relating to this Agreement.
Amendments
Zeno may update or amend this Agreement at any time. Updates will be effective upon publication within the Zeno app or official website. Continued use of the Platform constitutes acceptance of the updated terms.
